Terms of Service

These Terms of Service (“Terms”) govern your use of KittyUp (the “app”), operated by Brandon Pang (“we,” “us,” or “our”). By creating an account or using the app, you agree to these Terms. If you do not agree, do not use the app.

1. The Service

KittyUp is a tool for tracking shared expenses and calculating how those expenses are split among group members. It helps you keep a record of who paid for what and who owes whom.

KittyUp is not a financial service. The app does not move, hold, store, or transfer real money. Balances, splits, and settlements shown in the app are informational records only. Any actual payment between users happens directly between those users, outside of the app. We are not a bank, money transmitter, or payment processor, and we are not a party to any settlement between users.

2. Eligibility

You must be at least 13 years old to use KittyUp. If you are under 18 (or a minor where you live), you may use the app only with the permission of a parent or guardian who has read and agreed to these Terms. By using the app, you represent that you meet these requirements and that the information you provide is accurate.

You retain ownership of the information you enter into the app, such as expense descriptions and group details. You grant us the limited license needed to store, process, and display that content for the purpose of operating the service for you and the group members you share it with.

If you believe content available through the app infringes a copyright you own or control, notify us at [email protected] with enough detail to identify the material, and we will review and, where appropriate, remove it.

Our Privacy Policy explains what information we collect and how we use it, and is incorporated into these Terms. The service is hosted in the United States; by using it, you consent to your data being processed in the United States.

7. App Store Terms

KittyUp is distributed through the Apple App Store. Your license to use the app is limited, non-transferable, and for devices you own or control, subject to the App Store’s usage rules. Apple has no obligation to provide maintenance or support for the app and is not responsible for addressing any claims relating to it. You represent that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

8. Disclaimers

The app is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant that balances or calculations are accurate, that the app will be uninterrupted or error-free, or that it will meet your requirements. You are responsible for verifying any amounts before acting on them. We may change, suspend, or discontinue any part of the app at any time, and we will not be liable for any downtime, data loss caused by discontinuation, or unavailability of the service.

9. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of (or inability to use) the app, including any disputes between you and other users over money or settlements. To the maximum extent permitted by law, our total liability to you for any claim arising from these Terms or the app, regardless of the form of action, will not exceed one hundred US dollars ($100). Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, loss, or demand (including reasonable attorneys’ fees) made by a third party arising out of the content you submit, your use of the app, your violation of these Terms, or your violation of another person’s rights.

11. Termination

You may stop using the app and delete your account at any time from within the app. We may suspend or terminate your access if you violate these Terms or use the app in a way that could harm other users or the service.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the app will be subject to the exclusive jurisdiction of the state and federal courts located in California.

If a complaint with us is not satisfactorily resolved, California residents can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and if the changes are material we will provide additional notice (such as a prominent notice in the app or an email). Continued use of the app after changes take effect constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the app. If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver of it. We may assign our rights and obligations under these Terms; you may not assign yours without our consent.
